We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with us in asserting any available defenses. You will not settle any claim without our prior written consent.

We will attempt to resolve any disputes through good faith negotiations for a period of thirty (30) days from the date of your initial contact.

11.3 Jurisdiction and Venue

If informal resolution is unsuccessful, any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall be subject to the exclusive jurisdiction of the courts of the Federal Republic of Nigeria, and you hereby consent to the personal jurisdiction of such courts2.

11.4 Waiver of Class Actions

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND NG CAREER AGREE THAT ANY PROCEEDINGS TO RESOLVE OR LITIGATE ANY DISPUTE WILL BE CONDUCTED SOLELY ON AN INDIVIDUAL BASIS, AND THAT NEITHER YOU NOR WE WILL SEEK TO HAVE ANY DISPUTE HEARD AS A CLASS ACTION, A REPRESENTATIVE ACTION, A COLLECTIVE ACTION, A PRIVATE ATTORNEY-GENERAL ACTION, OR IN ANY PROCEEDING IN WHICH YOU OR WE ACT OR PROPOSE TO ACT IN A REPRESENTATIVE CAPACITY.

These Terms do not create any third-party beneficiary rights in any person, except as expressly provided herein.

The headings in these Terms are for convenience only and shall not affect the interpretation of these Terms.

15.7 Language

These Terms are written in the English language. In the event of any conflict between the English version and any translation, the English version shall prevail.

15.8 Force Majeure
